6. Confidentiality

We understand the sensitive nature of business information. We will maintain the confidentiality of your proprietary information in accordance with our confidentiality obligations outlined in service agreements.

Both parties agree not to disclose confidential information to third parties without prior written consent, except as required by law.

7. Payment Terms

7.1 Fees and Pricing

Service fees will be specified in individual service agreements. We offer various pricing models including fixed-price, results-based, and licensing arrangements.

7.2 Payment Schedule

Strategy invoices are due within 30 days of receipt. Software licensing is billed 1 month in advance.

For new or long-term projects, an upfront deposit of 35% of the total fee is required before work begins.

7.3 Late Payments

Late payments may incur interest charges at a rate of 4% per annum above the Bank of England base rate.

7.4 Expenses

Unless otherwise agreed, reasonable expenses incurred in delivering services (such as travel) will be invoiced separately with supporting documentation.

8. Warranties and Disclaimers

8.1 Our Commitment

We will provide our services with reasonable care and skill, in accordance with industry standards and professional practices.

8.2 Website Disclaimer

9. Limitation of Liability

9.1 Liability Cap

Our total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim, or £100,000, whichever is lower.

9.2 Excluded Damages

We shall not be liable for any indirect, consequential, or special damages, including but not limited to:

• Loss of profits or revenue
• Loss of data or business interruption
• Loss of anticipated savings
• Loss of business opportunity or goodwill

9.3 Exceptions

Nothing in these Terms shall limit our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any other liability that cannot be excluded by UK law

10. Termination

10.1 Termination by Either Party

Either party may terminate a service agreement with written notice as specified in that agreement. Unless otherwise stated, a minimum of 30 days' notice is required.

10.2 Termination for Cause

Either party may terminate immediately if the other party:

• Materially breaches these Terms or the service agreement
• Becomes insolvent or enters bankruptcy proceedings

10.3 Effect of Termination

Upon termination, the client shall pay for all services performed up to the termination date. Provisions regarding confidentiality, intellectual property, and liability shall survive termination.
